2. Client Obligations
Clients agree to:
- Provide accurate and complete information required for service execution.
- Respond to Business Valley communications promptly.
- Ensure timely approvals of content, campaigns, or website changes.
- Comply with applicable laws, regulations, and guidelines related to their business and online activities.
Failure to meet these obligations may affect the project timeline or outcomes.
3. Intellectual Property
- All content, designs, images, graphics, code, and proprietary materials created by Business Valley remain the intellectual property of Business Valley until full payment is received.
- Upon full payment, ownership of deliverables may transfer to the client as agreed in the contract.
- Clients may not reproduce, distribute, or modify Business Valley proprietary content without prior written consent.
4. Payment Terms
- Payment schedule will be outlined in the service contract or quotation.
- Work may begin only after receipt of the agreed initial payment.
- Final deliverables will be shared upon full payment.
- Delayed payments may result in project suspension or additional charges.
5. Service Modifications
Business Valley reserves the right to make reasonable modifications to services, strategies, or deliverables to achieve project objectives.
- Major changes requested by the client may incur additional charges.
- Business Valley will inform clients in advance about any modifications affecting timelines or cost.
6. Limitation of Liability
- Business Valley shall not be held liable for indirect, incidental, or consequential damages arising from services provided.
- While Business Valley strives to achieve the best possible results, we do not guarantee specific results such as rankings, sales, or leads due to the dynamic nature of digital marketing.
- The client agrees to indemnify and hold Business Valley harmless against claims arising from third-party actions, content, or legal violations.
7. Confidentiality
Both parties agree to maintain confidentiality of sensitive business information, strategies, and client data. Information will not be disclosed to third parties without prior consent except as required by law.
8. Termination
- Either party may terminate the contract by providing written notice.
- In case of termination, clients will pay for services rendered up to the termination date.
- Business Valley may suspend services if clients breach terms or fail to provide necessary information.
9. Governing Law
These Terms & Conditions are governed by the laws of India, with jurisdiction in Indore, Madhya Pradesh.
10. Changes to Terms
Business Valley reserves the right to modify these Terms & Conditions at any time. Updated terms will be posted on this page with the revised effective date.
